Terms of Use

1. Agreement

This End User License Agreement ("Agreement" or "Terms") is a legal agreement between you and Ellorra AI, LLC ("Ellorra AI", "we", "our", or "us") governing your use of the Lapse.ly application and related services (the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

2. License

Subject to these Terms, Ellorra AI grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the App on devices that you own or control, for your personal or internal use, as permitted by the rules of the app store from which you obtained it.

3. Restrictions

You agree not to:

• Copy, modify, or create derivative works of the App except as permitted by law;
• Reverse engineer, decompile, or disassemble the App, except to the extent that applicable law expressly permits;
• Rent, lease, lend, sell, redistribute, or sublicense the App;
• Remove or alter any proprietary notices; or
• Use the App to violate any law or the rights of others.

4. Your Content

You retain all rights to the photos, videos, audio, and other content you create or import with the App ("Your Content"). Ellorra AI claims no ownership of Your Content. As described in our Privacy Policy, Your Content is processed and stored on your device; we do not access, upload, or use it. You are solely responsible for Your Content and for having the rights to any material you import (including music, images, and the likeness of any person you record).

5. Purchases & Subscriptions

The App is free to use with an optional "Pro" upgrade. Pro is available as a one-time lifetime purchase or as an auto-renewable subscription (monthly or annual).

• Billing: All purchases are processed by the Apple App Store or Google Play and are charged to your store account. We do not receive or store your payment information.
• Auto-renewal: Subscriptions automatically renew at the then-current price unless cancelled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the period.
• Managing & cancelling: You can manage or cancel a subscription at any time in your App Store or Google Play account settings. The lifetime option is a one-time, non-recurring purchase.
• Refunds: Refunds are handled by the app store under its policies; we cannot directly issue refunds for store purchases.
• Pricing: Prices may vary by region and may change; any change to a subscription price will be handled according to the app store's rules.

6. Intellectual Property

The App, including its software, design, and trademarks (including "Lapse.ly" and "Ellorra AI"), is owned by Ellorra AI, LLC and protected by intellectual-property laws. Except for the license granted above, no rights are transferred to you.

7. Disclaimer of Warranties

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that it will meet your requirements. You are responsible for backing up Your Content; while the App is designed to keep your work safe on your device, we are not responsible for any loss of content.

8. Limitation of Liability

To the maximum extent permitted by law, Ellorra AI, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or content, arising out of or related to your use of the App. To the extent liability cannot be excluded, it is limited to the amount you paid for the App in the twelve months preceding the claim.

9. Termination

This Agreement remains in effect until terminated. Your rights under it end automatically if you fail to comply with its terms. You may end it at any time by deleting the App. Upon termination, you must stop using the App.

10. Apple & Google Provisions

These Terms are between you and Ellorra AI, LLC only, not with Apple or Google. Apple and Google are not responsible for the App or its content. Where you obtained the App from the App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. The store operator is not responsible for addressing any claims relating to the App, and any maintenance, support, or warranty obligations are ours, not the store operator's, to the extent any apply.

11. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Ellorra AI, LLC is organized, without regard to conflict-of-laws principles, except where applicable consumer-protection law provides otherwise.
